Agreement for the paid provision of services for organizing trips to South Korea
Korean Simple Co., Ltd (Republic of Korea, registration number 341-87-01842), hereinafter referred to as the Contractor, represented by its director PARK TAESEOB, acting on the basis of the Articles of Association, publishes this Public Agreement for the paid provision of services, hereinafter the Agreement, addressed to any legally competent individual, hereinafter referred to as the Client.
The Contractor is a licensed travel company registered and operating in the Republic of Korea under a general travel business license (종합여행업, General Travel Business) pursuant to the Tourism Promotion Act of the Republic of Korea. This license covers the organization of domestic, inbound, and outbound travel, including the organization of trips for citizens and residents of foreign countries.
The Contractor is a foreign travel company and operates under a license of the Republic of Korea. The Contractor is not a tour operator or travel agent within the meaning of the national legislation of the Client's country of permanent residence, is not entered in the national registers of tour operators (travel agents) of such countries, and does not provide the financial security for liability required by the national legislation of the Client's country of residence for local tour operators.
This Agreement is an agreement for the paid provision of services for preparing and organizing trips to South Korea, including booking accommodation, ground handling, sightseeing, and related services from providers in the Republic of Korea. The Agreement enters into force upon acceptance by the Client in the manner provided for in Section 1 of this Agreement.
The services under this Agreement are actually provided in the Republic of Korea. The Contractor concludes and performs this Agreement and has no separate subdivisions, representative offices, or persons authorized to conclude agreements or agree on their essential terms on behalf of the Contractor in the Client's country of residence.
1.1. On the Client's instructions and for a fee, the Contractor undertakes to organize a trip to South Korea in the manner and on the terms set out in this Agreement, the trip program, the invoice, the request, correspondence with the Client, and other documents agreed upon by the parties.
1.2. The name of the trip, dates, route, program, price, included and excluded services, terms of accommodation, meals, transportation along the route, escort, and other characteristics are specified on the Contractor's website at https://ksimple-travel.com, on the page of the relevant trip, in the invoice, request, or other written booking confirmation. These documents form an integral part of the Agreement.
1.3. This Agreement is a public offer. Acceptance is deemed to be the Client's performance of implied actions: checking the box indicating agreement with the terms of the Agreement on the Contractor's website when submitting a request and/or paying (in full or as a prepayment) the cost of the trip. Prior to acceptance, the Client is given the opportunity to review the full text of the Agreement, the trip program, the price, the scope of services, the cancellation terms, and the material restrictions of the trip. The Client's silence or inaction does not constitute acceptance.
1.4. By accepting, the Client confirms that, prior to concluding the Agreement, they received complete and accurate information about the Contractor, the consumer properties of the services, the program of stay, the tour plan, accommodation, meals, transportation along the route, excursions, entrance tickets, additional services, the price, the payment procedure, the terms of changes and cancellation, as well as the specific features and material restrictions of a trip to South Korea.
1.5. If the terms of a specific trip set out on its page, in the invoice, request, or correspondence with the Client differ from the general terms of this Agreement, the special terms of the specific trip shall apply. The terms of a specific trip may not worsen the position of a Client who is a consumer compared with the mandatory rules of applicable law.
2.1. To render the services in the scope set out in the program of the trip chosen by the Client, except where the program is changed for reasons beyond the Contractor's control.
2.2. To inform the Client of the terms of purchase and the content of the services, including the route, dates, terms of accommodation, meals, transportation along the route, escort, visa support, and additional services.
2.3. To promptly notify the Client of changes to the trip terms resulting from a material change in circumstances, decisions of government authorities, actions of carriers, hotels, restaurants, museums, or local partners, the occurrence of force majeure, or other reasons affecting the ability to carry out the trip.
2.4. Arrange interaction with local partners, contractors, guides, transport companies, hotels, restaurants, and other service providers in the Republic of Korea, if such services are included in the trip program.
2.5. If necessary, provide the Client with informational and organizational support in obtaining permission to enter the Republic of Korea, namely the K-ETA electronic travel authorization and/or a visa, if such support is included in the trip program or separately agreed upon by the parties.
2.6. The Contractor is responsible for the proper organization of the services included in the agreed trip program. The Contractor shall be released from liability for non-performance or improper performance of its obligations if it proves that this occurred due to circumstances for which the Contractor is not responsible, including:
as a result of force majeure circumstances, including natural disasters, typhoons, earthquakes, military operations, epidemics, strikes, accidents, restrictions imposed by government authorities, border closures, cancellation of mass events, transport restrictions, and other circumstances beyond the Contractor's reasonable control;
as a result of the Client's failure to pay for the services within the agreed time frame;
with respect to additional services not provided for in the trip program, request, or written booking confirmation;
as a result of the Client's unilateral change to individual elements of the program, including the route, accommodation, meals, transfers, excursions, arrival time at the meeting point, or the manner of participating in the program;
as a result of actions or omissions of independent service providers (carriers, consulates, government authorities), whose liability is governed by their own rules and applicable law.
The provisions of this clause do not limit the rights granted to a Client who is a consumer by the mandatory rules of law of the country of their permanent residence.
3.1. To pay for the Contractor's services in accordance with the trip price indicated on the website, in the invoice, request, or other written booking confirmation, within the time frame agreed upon by the parties. Unless otherwise specified, full payment must be made no later than 40 calendar days before the start of the trip.
3.2. Provide the Contractor with a valid international passport and all necessary accurate documents for obtaining an entry authorization (K-ETA) or a visa, or visa support, no later than 25 calendar days before the start of the trip, unless a different deadline is specified by the Contractor or by the requirements of the competent authorities of the Republic of Korea.
3.3. Independently check the passport's validity period, the availability of blank pages, the compliance of documents with the requirements of airlines, transit countries, the Republic of Korea, and other countries along the route, as well as having a valid entry authorization (K-ETA) or visa, if required for the Client's citizenship.
3.4. To arrive at the airport, train station, group meeting point, or excursion starting point by the time specified by the Contractor, the carrier, or the trip program.
3.5. Comply with the border, customs, sanitary, immigration, visa, and other rules of the Republic of Korea, transit countries, airlines, carriers, hotels, restaurants, museums, cultural sites, and other places visited.
3.6. To comply with personal safety rules, rules of conduct within the group, and the instructions of the escort, guide, local partner, carrier, hotel, restaurant, museum, or other service provider.
3.7. The Client bears responsibility, including financial responsibility, for their actions or decisions during the trip, as well as for compliance with the laws of the Republic of Korea and transit countries.
3.8. The Client must have valid medical insurance that is effective in the Republic of Korea, unless otherwise expressly included in the trip price and confirmed by the Contractor in writing.
4.1. The Contractor shall notify the Client of the booking and confirmation of the ordered services. The period for confirming the ordered services is three business days from the date of payment, unless a different period is specified in the terms of the specific trip.
4.2. The Client has been advised that, when visa support or support in obtaining an entry authorization (K-ETA) is provided, the competent authorities of the Republic of Korea, the consulate, the visa center, or other bodies may require additional documents, including airline tickets, insurance, proof of accommodation, bank documents, certificates of employment, an application form, photographs, and other information.
4.3. The Client has been advised that the Contractor does not guarantee the timely issuance of a visa or entry authorization (K-ETA). The decision to issue or refuse is made exclusively by the competent authority of the Republic of Korea. Refusal of issuance, delays in reviewing documents, requests for additional documents, or the inability to submit documents for reasons beyond the Contractor's control do not constitute a breach of the Agreement by the Contractor.
4.4. In the event of a refusal of a visa or entry authorization, a delay in obtaining it, or the Client's inability to take part in the trip, refunds are made in the manner provided for in Section 5 of this Agreement: the Client is refunded the amount paid less the expenses actually incurred and documented by the Contractor.
4.5. The carriage of the Client by air, rail, road, water, or other transport is performed in accordance with the rules of the relevant carrier. A ticket, boarding pass, voucher, or other transport document constitutes a separate contract with the carrier, which bears liability within the limits of its rules and applicable law.
4.6. Services in the Republic of Korea may be provided by local partners, contractors, licensed transport companies, guides, hotels, restaurants, museums, and other service providers. The Contractor is entitled to engage such persons to perform the Agreement while remaining liable to the Client for the organization of the services included in the agreed program.
4.7. The Client's ignorance of the laws, rules of conduct, traditions, safety requirements, or customs of the Republic of Korea does not release the Client from liability for violating them. A guide, accompanying person, or representative of the Contractor is not an interpreter of the law and bears no liability for the Client's actions or omissions.
4.8. The Contractor may change the trip program without reducing the quality and overall nature of the trip if the change is caused by weather conditions, transportation delays, site schedules, tourist crowding, decisions of local suppliers, safety requirements, or other circumstances affecting the program. The Contractor shall notify the Client of material changes; if the Client does not agree with a material change, the terms of Section 5 shall apply.
4.9. If the Client misses the deadline for providing documents for an entry authorization (K-ETA), visa, or other mandatory documents, the Client is deemed to have cancelled the trip, and the terms of Section 5 of this Agreement apply.
5.1. The trip price is determined by the Contractor and indicated on the website, in the invoice, request, or other written booking confirmation. The settlement currency is indicated in the invoice; if the Client's payment currency differs from the settlement currency, conversion is performed according to the rules and exchange rate of the bank (payment system) on the transaction date.
5.2. Unless otherwise specified in the terms of the specific trip, the price does not include international air tickets, personal expenses, document processing costs, consular and service fees, medical insurance, baggage in excess of the carrier's allowance, or meals and services outside the trip program.
5.3. The Client may withdraw from this Agreement at any time, provided that the Contractor is reimbursed for the expenses actually incurred and documented in connection with the performance of its obligations under the Agreement as of the date the Contractor receives the notice of withdrawal. This right of the Client may not be restricted or made conditional upon payment of a penalty, fine, fixed percentage, or any other payment in excess of the expenses actually incurred.
5.4. For trips where this is expressly stated on the trip page, in the invoice, request, or other written booking confirmation, the trip price includes an organizational fee in the amount and currency expressly specified in the written booking confirmation. The organizational fee is payment for the Contractor's preparatory organizational services provided after the Client's participation is confirmed and before the start of the trip; it is not a penalty, forfeit, or unconditionally non-refundable payment.
5.5. As part of the preparatory organizational services, and taking into account the program of the specific trip, the Contractor, in the Client's interests, reserves a place in the group and with the host party (including at a university), develops and coordinates logistics, launches support and the work of the care department, interacts with the university and other local partners, prepares documents, and provides consulting support to the Client. These actions and the associated costs are carried out in stages after the Client's participation is confirmed.
5.5.1. Expenses actually incurred include the cost of the preparatory organizational services actually rendered as specified in clause 5.5, as well as non-refundable or partially refundable payments actually made by the Contractor to organize the trip of the specific Client, including for accommodation, transport, restaurants, entrance tickets, workshops, guide services, local partners, visa support, and obtaining an entry authorization, as well as bank fees and payment system fees.
5.5.2. If the Client cancels the trip, the Contractor withholds from the payment received only the cost of the preparatory organizational services actually rendered as of the date of receipt of the cancellation notice and other expenses actually incurred, in the documented amount. If the amount of such expenses is less than the organizational fee or another amount received from the Client, the difference shall be refunded to the Client. At the Client's request, the Contractor shall provide a calculation of the composition and amount of the withheld expenses and supporting documents; the burden of proving the fact and amount of the expenses lies with the Contractor.
5.6. Refunds are made within the period established by applicable law, using the same method by which payment was made, unless another method is agreed upon by the parties. Only the Contractor's expenses actually incurred and documented, as well as non-refundable bank fees and payment system fees actually charged when processing the payment and the refund, are withheld from the refund amount.
5.7. If the terms of a specific trip provide for a different procedure for payment, prepayment, or refunds, the special terms of that specific trip apply, provided that they do not worsen the position of the Client-consumer compared to the mandatory provisions of applicable law.
5.8. The Contractor begins performing the assignment subject to full and timely payment for the trip by the Client, unless otherwise agreed by the parties.
6.1. The Contractor is liable to the Client for the proper organization of the services included in the agreed trip program, within the limits established by applicable law. The Contractor does not reimburse the Client for the cost of services and bears no liability to the extent that non-performance or improper performance is caused by:
the Client's breach of the provisions of this Agreement and the obligations set out in Section 3;
refusal of the Client's entry into the Republic of Korea or a transit country by decision of border, immigration, customs, sanitary, or other government authorities;
incorrect preparation, invalidity, damage, loss, or non-compliance of the Client's passport, visa, entry authorization (K-ETA), consent for a minor's travel, insurance, airline ticket, or other documents;
changes in airline fares or carrier rules, delays of departures and arrivals, change of aircraft or vessel type, flight cancellations, or changes in transport schedules;
the Client's loss of passport, visa, luggage, personal belongings, valuables, money, or documents;
the Client's own unilateral changes to individual elements of the program;
the Client's violation of the laws of the Republic of Korea, rules of conduct, public order, safety requirements, or instructions of accompanying persons.
6.2. The Client has been advised of the need to take their own measures to ensure the safety of personal belongings, valuables, money, and documents throughout the trip.
6.3. If the Client causes damage to the property of the Contractor, a local partner, hotel, restaurant, museum, carrier, another trip participant, or a third party, the Client shall independently compensate for the damage caused in full.
6.4. The Contractor bears no liability for the inability to provide services or for changes to the program caused by force majeure circumstances or by the actions of government authorities, carriers, visa authorities, and other independent persons beyond the Contractor's reasonable control.
6.5. The provisions of this Section do not limit or exclude the rights granted to the Client-consumer by the mandatory provisions of the law of the country of their permanent residence, including the right to compensation for losses incurred and for non-pecuniary (moral) damage in cases provided for by such law.
7.1. By accepting the Agreement and providing their data, the Client consents to the processing by the Contractor of their personal data (surname, first name, date of birth, passport details, contact details, and information necessary for bookings and for obtaining an entry authorization or visa) for the purpose of performing this Agreement.
7.2. The Client is informed and agrees that, for the performance of the Agreement, their personal data may be transferred to service providers and authorized bodies in the Republic of Korea (hotels, transport companies, local partners, consular, visa, and immigration authorities), including by way of cross-border transfer of personal data.
7.3. Personal data is processed for the period necessary to perform the Agreement and to comply with the requirements of applicable law. The Client may withdraw consent and exercise other rights of a personal data subject in the manner provided for by applicable law by sending a request to the Contractor using the contact details specified in Section 9.
7.4. The procedure for cross-border transfer and storage of personal data of Clients who are residents of particular states is determined taking into account the requirements of the personal data legislation of the relevant state.
8.1. This Agreement is governed by the laws of the Republic of Korea. However, this Agreement does not deprive the Client-consumer of the protection of their rights afforded by the mandatory provisions of the law of the country of their permanent residence, and does not limit such rights, if the Contractor directs its activities to the territory of that country.
8.2. The parties shall seek to resolve all disputes and disagreements through negotiation. The Client-consumer may bring a claim against the Contractor, at their choice, at their place of residence or stay, or in another court provided for by the mandatory provisions of applicable consumer protection law.
8.3. If a complaint regarding the quality of services arises, the Client must immediately notify the Contractor or the accompanying person directly so that an attempt can be made to resolve the problem on site. If the problem cannot be resolved on site, the Client shall send a written complaint to the Contractor describing the circumstances, together with supporting documents.
8.4. The parties mutually undertake not to disclose confidential information provided by one party to the other in connection with the performance of the Agreement, except where disclosure is required by law or upon request of government authorities, a court, a bank, a payment system, or another authorized person.
8.5. Correspondence between the parties by email, messengers, CRM, personal account, website forms, or other electronic channels is recognized as a proper means of exchanging legally significant information, provided that it allows the sender, recipient, and content of the message to be identified.
8.6. If any individual provision of this Agreement is held invalid, this does not affect the validity of the remaining provisions of the Agreement.
